Representation in negotiations and litigation relating to the collection of accounts receivable, disputes relating to contracts, disputes relating to corporate management, disputes relating to investments, and other various procedures, such as administrative procedures.

International Litigation and Arbitration

Various disputes may arise in connection with transactions involving foreign companies, including the collection of accounts receivable and loans receivable, the termination of transaction contracts, claims for damages due to default, and investment disputes.  We represent not only Japanese companies but also foreign companies in resolving international transaction disputes.

Divorce

It is not uncommon for marital discussions regarding divorce to not go as smoothly as one would like.  There are few people to whom one can talk about divorce issues, and many times one is left alone with one’s problems.  Our firm provides assistance to those who are experiencing difficulties with divorce issues.

Inheritance and International Inheritance

We handle inheritance-related matters, including the preparation and execution of wills, the division of inheritance estates, and claims for recovering the legally reserved portion of the inheritance estate.  We also provide consultation on international inheritance matters, including those involving China.

Intellectual Property

CHINA PRACTICE

Establishment and Management of Chinese Subsidiaries

There are various ways for Japanese companies to establish a presence in China.  We propose the most suitable method of expansion based on the client’s needs, draft contracts, articles of incorporation, and other necessary documents for establishment in accordance with relevant Chinese laws and regulations, and provide support for approval and registration procedures.

Preparation of Chinese Language Contracts

One of the keys to success in doing business in China is to be aware of the differences between the Japanese and Chinese legal systems and business practices, and to prepare transaction-related documents according to the characteristics of each type of contract.  We provide advice on drafting and preparing contracts and other transaction-related documents between Japanese and Chinese companies.

Personnel and Labor Issues of Chinese Subsidiaries

When hiring employees, Japanese companies in China may be required to draft labor contracts that conform not only to laws and regulations, but also to methods specifically required in practice in that region.  We assist our clients in drafting and enter into labor contracts that meet the specific conditions of each region, and provide guidance on labor-related issues for local subsidiaries in China.

Debt Collection, Litigation, and Arbitration in China

When transacting business with Chinese companies, it is not uncommon for the transactions to result in disputes.  We provide legal services for clients who are experiencing difficulties in collecting accounts receivable from Chinese companies, or considering to file claims for damages against Chinese companies.  Our staff Chinese attorneys who are fluent in Japanese and experienced Chinese attorneys who are affiliated with our firm work as a team to assist clients in resolving the disputes.  We are able to provide detailed explanations of the status and prospects of litigation matter, all in Japanese.

Restructuring and M&A of Chinese Subsidiaries

We are able to provide the necessary support in accordance with the actual circumstances of the transaction, from the proposal of restructuring schemes to the execution of actual procedures.  We can also provide advice on the relevant corporate legal regulations, such as for acquiring Chinese companies, and can file procedures for business combinations with the Ministry of Commerce on your behalf.

Dissolution and Liquidation of Chinese Subsidiaries

When dissolving or liquidating a Chinese subsidiary, a prompt and accurate response is required based on an accurate understanding of the relevant laws and regulations in China.  We can provide the necessary support for legal issues that may arise before the liquidation is completed, including the formulation of a specific liquidation schedule, the termination of contracts with business partners and labor contracts, and the handling of disputes arising from these matters.
